Asset-backed Investment Sukuk, in preparation.
This page describes a programme under study. It is not an offer of securities and not a solicitation. No subscription is available from this page.
Planned structure
Wholesale only
The programme is intended for professional and institutional investors only, with a high minimum denomination per certificate. It will not be available to retail investors in any jurisdiction.
Per-series vehicles
Each series is planned to be issued through its own bankruptcy-remote vehicle, holding the underlying asset pool on trust for the Sukuk holders.
Venue under study
Malta’s provisions for Sukuk are not yet in force. Where and how each series is listed will be decided once the rules are settled and counsel has advised.
Classification with counsel
How the programme is treated under EU law, including MiCA and the Prospectus Regulation, is being reviewed with counsel. Nothing here is a settled legal position.
Planned asset reserve
Each series is designed to be backed by a defined asset pool drawn from five classes, with a target of at least 85 percent tangible assets at issuance.
- 1.Income-producing real estate (residential and mixed-use), once title documents exist; today these are candidates under study
- 2.Operating equity in Safa Global companies
- 3.Allocated physical gold
- 4.E-money tokens licensed under the EU framework
- 5.Cash held without interest
The assets of each series will be documented in its offering documents and reviewed by the independent adviser before issue.
Independent review
The adviser on ethical and Islamic financial regulation will be appointed through the Safa Global Foundation, not by Safa Global Capital, so the review sits apart from the commercial side. No adviser has been appointed yet.
For each series, the review is planned to cover the asset pool, the trust structure, the profit-sharing mechanics, and any liquidity arrangements, and to be published with the offering documents.
How this is different from STAC
The Sukuk Programme and STAC are planned as separate tracks. STAC is the planned retail track: an ERC-20 digital security issued by Safa Global Capital, whose classification awaits counsel’s opinion. The Sukuk Programme is the planned wholesale track: asset-backed series for professional and institutional investors only.
They are meant to serve different investors, different liquidity profiles and different legal wrappers.
This is not an offer.
Nothing on this page constitutes an offer to sell or a solicitation to buy any security. The Safa Global Sukuk Programme is under study and no series has been issued. If a series opens, distribution will be limited to professional and institutional investors in jurisdictions where it is lawful, under the terms of approved offering documents. Retail investors will not be able to subscribe.
